1. Binding Agreement 

1.1 Acceptance 

By accessing `https://business.willstonezm.com` (the "Site"), you agree to: 

- Comply with Zambian laws and international statutes governing multinational corporations . 

- Adhere to Willstone’s data practices for CRM systems used globally. 

- Resolve disputes through Zambian courts or traditional mediation (e.g., tribal councils). 

 

1.2 Definitions

2. Commercial Terms

2.1 Transactions in Zambia 

- Payment Methods: Mobile Money, Visa, MasterCard, cash (Zambian Kwacha only). Failed payments incur 10% restocking fees . 

- Age Restrictions: Alcohol/tobacco sales require age verification (18+). No deliveries to unverified minors . 

- Returns: Refunds for damaged goods processed within 72 hours via Mobile Money or 10 days for credit cards . 

 

2.2 Gold Trading Compliance 

- Transparency: All trades require: 

  - LOI (Letter of Intent) 

  -ICPO (Irrevocable Corporate Purchase Order) 

  - Fumigation Certificates for export . 

- Customs: Export documentation must align with Zambia Revenue Authority (ZRA) standards. 

 

3. CRM System Usage

 3.1 Data Collection & Purpose

  - Scraping competitor data (Section 7, Zambian Competition and Consumer Protection Act). 

- Consent: Explicit opt-in required for marketing emails. 

4. Intellectual Property 

- Ownership: All Site content (text, logos, CRM workflows) is Willstone’s property under Zambian Copyright Act No. 25 of 2025. 

- Trademarks: Unauthorized use of "Willstone Investment Group™" invokes penalties (up to ZMW 500,000) . 

 

5. Liability & Disclaimers 

5.1 Limitations 

- CRM Downtime: Willstone not liable for losses during system outages (max 48 hours/year). 

- Force Majeure: No liability for failures due to: 

  - Zambian power grid disruptions 

  - Border conflicts (e.g., DRC border instability) . 

 

5.2 Health & Safety Disclaimers 

- Medical Compliance: Users in Zambia must verify medication legality (e.g., diphenhydramine prohibited) . 

- HIV/AIDS: High infection rates in Zambia necessitate caution during physical interactions post-data breaches.

6. Dispute Resolution 

6.1 Hierarchical Process 

1. Traditional Mediation: 30-day negotiation via Zambian tribal elders (Ubuntu principles). 

2. Arbitration: Lusaka-based (Zambian Arbitration Act). 

3. Courts: Exclusive jurisdiction of Zambian High Court. 

 

 6.2 Class Action Waiver 

- Individual claims only; no collective suits per Zambia’s Class Proceedings Prohibition Act. 

7. Data Protection & CRM Governance 

 7.1 Security Measures 

- Encryption: WIG-Crypto-Std-256 (AES-256) for data at rest/in transit. 

- Access Controls: Role-based permissions (e.g., sales teams cannot view HR data). 

- Audits: Bi-annual SOC 2 reviews + Zambian Ministry of Technology inspections. 

 

 7.2 Cross-Border Data Transfers 

- EU → Zambia: Standard Contractual Clauses (SCCs). 

- U.S. → Zambia: Privacy Shield frameworks where applicable. 

-Data Localization: Financial/health data stored exclusively in Zambia. 

 

8. Amendments & Termination

- Updates: Revised terms effective 30 days after Site posting. Continued use implies consent. 

- Termination: Willstone may suspend accounts for: 

  - CRM security breaches (e.g., unauthorized API access). 

  - Non-payment exceeding 60 days.
